Terms of Use and Agreement
- The robot is and shall at all times be and remain the sole and exclusive property of the Lessor and Lessee shall have no right , title or interest therein or thereto except as to the use thereof subject to the terms and conditions of this lease.
- Lessee agrees to pay rent to Lessor in the amounts set forth without deduction or setoff.
- Limited Warranty. Lessor makes no warranties (express, implied or statutory) with respect to the robot and any accompanying written materials including , but not limited to, any implied warranties or fitness for a particular purpose. In no event will Lessor be liable to Lessee for any direct or indirect damages including loss of profits, lost savings, loss of data, or other special incidental or consequential damages arising out of Lessee’s use of or inability to use the robot. In no event will Lessor’s liability exceed the amount of the lease payments charged.
- Term and Renewal. The lease is for 30 days and can be renewed for another 30 days by the lessee making the lease payment on or before the _________ of each month.
- Place of Use. Lessee covenants and agrees not to allow the use of the robot by businesses, entities, or other individuals and that said robot will only be used on the Lessee’s computer. The robot may not be used in any type of managed money business including but not limited to MAMS and PAMMS without written permission from the Lessor. Lessee further covenants and agrees not to copy, rent, sublease, license, transfer, donate, commercially exploit, reverse engineer, decompile, disassemble (or allow the same to occur) the robot or any part thereof.
- Lessee shall pay all taxes and assignments which may be levied directly or indirectly against the robot.
- Lessee shall indemnify and hold lessor harmless of and from any and all claims, losses, liabilities (including negligence, tort and strict liability), damages, judgements, suits or legal proceedings, including court costs, expenses and reasonable attorney’s fees, related to the use of the robot.
- The robot remains the personal property and the title thereto shall remain with the Lessor at all times.
- Each party agrees it shall not make the other party’s confidential information available to any third party without written consent of the other.
- If Lessee fails to pay any rent within five days of the due date, or fails to perform any other provision of this lease, then the Lessor will have the right to make the robot inoperable on the Lessee’s computer.
